Due diligence is an investigative exercise to research, evaluate and understand a business. There are many documents that could or should be collated or provided in response to a due diligence request.

Corporate affairs – ownership structure, Minutes of meetings, details of acquisitions, shares, security interest, insurances etc

Financial information and advisors – financial statements, annual returns and details of other transactions and reports from external advisors
Offices, facilities and equipment – office locations, asset maintenance and service contracts

Intellectual property – products, technologies, patents, protection procedures and agreements

Material contracts – agreements and contracts related to supply, manufacturing, sales and distribution, partnership arrangements etc

Material litigation – past, pending or threatened litigation and disputes
Employees – employees and related agreements and responsibilities, contractors and consultants, health and safety and labour disputes

Regulatory matters – compliance, government approvals and permits, resource consents

Tax – working papers and returns, policies, audit, agreements with associates and company position

Insurance – policies, claims and reports

Marketing – marketing materials and recent press releases
