Live Deals Terms and Conditions
By accepting these Terms and Conditions, you also confirm you have read and agree to Invest New Zealand's Terms of Use and Engagement and Privacy Policy.
Investors
Live Deals is a platform designed to connect New Zealand companies seeking to raise capital with potential investors. Unless otherwise indicated, investment opportunities on Live Deals will be limited to:
offers made to persons in New Zealand who are "wholesale investors" as defined in clause 3 of Schedule 1 of the Financial Markets Conduct Act 2013 (FMCA); or
other offers which do not require disclosure under Part 3 of the FMCA.
By accessing the Live Deals platform, you confirm to Invest New Zealand that:
you are a "wholesale investor" as defined in clause 3 of Schedule 1 of the FMCA; or
you have reasonable grounds to consider that you will be able to certify yourself as an "eligible investor" in accordance with clause 41 of Schedule 1 of the FMCA; or
you are a client adviser (including, but not limited to, Licenced Immigration Advisors, lawyers, financial advisers); or
you are an Invest New Zealand employee.
The inclusion of an investment opportunity on the Live Deals platform or any other Invest New Zealand publication does not constitute an endorsement or recommendation by Invest New Zealand, the New Zealand Government or any other party. For the avoidance of doubt, this includes instances where an investment opportunity is noted as being “prepared” or “supported” by Invest New Zealand (as Invest New Zealand’s role is limited to supporting the investee company in preparing the investment opportunity). In the case of being classed as ‘AIP Eligible’ investments, Invest New Zealand’s role is limited to determining that investments meet the relevant criteria in the Immigration Instructions.
If you express an interest in an investment opportunity listed on Live Deals, the Invest New Zealand Investment Team may (as a conduit) put you in touch with the investee company. You and the investee company are responsible for pursuing, negotiating and finalising any investment opportunity. Whether an offer is made is subject to the sole discretion of the investee company and Invest New Zealand makes no representation as to whether an offer will be made.
Live Deals displays the basic information Invest New Zealand has been provided by the investee company regarding the potential investment opportunity. Invest New Zealand is not responsible for the content of other websites linked to or referenced on Live Deals or any information flyer, information memorandum, investor presentation or similar document made available via Live Deals. The content of such websites or documents has been prepared by the investee company, or by the offeror of the investment or financial product, and has not been reviewed or verified by Invest New Zealand in any way. Invest New Zealand does not warrant or represent the origin, validity, accuracy, completeness, or reliability of (or accept any obligation to update) any statement contained in such document or otherwise available on Live Deals, and does not accept any responsibility for errors or omissions.
New Zealand law normally requires people who offer financial products to give certain information to investors before they invest. This requires those offering financial products to have disclosed information that is important for investors to make an informed decision. Those usual rules do not apply to offers limited to wholesale investors or other offers which do not require disclosure under Part 3 of the FMCA. If you decide to invest in an investee company you may not receive a product disclosure statement, prospectus, or other disclosure document in respect of the investment opportunity. Therefore, before making an investment decision, you should:
obtain whatever additional information you believe necessary or desirable to make an informed investment decision and carefully read the legal documentation relating to the investment opportunity; and
make your own independent assessment and investigation as you deem necessary, including seeking independent professional advice, to ensure any investment meets your individual needs, whether in relation to tax, financial, accounting, legal or any other matters.

All investments, including those included the Live Deals platform or in any other Invest New Zealand publication, are subject to investment risk, including possible delays in repayment and loss of income and capital invested, among other risks. No person, including Invest New Zealand, guarantees any particular rate of return on, the financial health of, the performance of or the repayment of an investment. Invest New Zealand does not accept and hereby disclaims and excludes (to the extent permitted by law) all liability for losses, claims, damages, demands, costs, and expenses of any nature whatsoever (including, but not limited to liability in contract or in tort, (including negligence), in equity or for breach of statutory or other duty) arising in any way out of, or in connection with, an investment opportunity originating from Live Deals.
If you are located outside of New Zealand (an Overseas Investor), you:
warrant that, in respect of any investment opportunity on Live Deals which you decide to pursue, your acceptance of such offer is not contrary to the laws of the jurisdiction in which you are located; and
acknowledge that Invest New Zealand has no involvement in any offer made to you and, as such, Invest New Zealand has not taken any action to permit the offer being made in the jurisdiction in which you are located.
If you make an investment into any investment opportunity on Live Deals, Invest New Zealand makes no representations or warranties that any investment will be appropriate for an Investor 1 or 2 Resident visa.
Client advisers
If you are a client adviser, you acknowledge that:
your access to Live Deals is solely for the purposes of providing information to your clients;
your clients will have the responsibility for signing up to Live Deals and expressing interest in opportunities – you cannot express interest on their behalf; and
Invest New Zealand has no liability for any losses, claims, damages, demands, costs, and expenses of any nature whatsoever, arising out of your access to Live Deals.
General
Invest New Zealand has sole discretion to determine whether to grant access to Live Deals to any person. Invest New Zealand may revoke your access to Live Deals at any time without cause or reason.
Invest New Zealand may need to change these Terms and Conditions from time to time. If we do make significant changes, those changes become binding on both of us 14 days after we publish them on our website or notify you through the website. If you give us notice before the end of the 14 days that you do not wish to be bound by a change to our Terms and Conditions, our engagement with you will end at the end of the 14 days, or as soon as is reasonably practical after that, and the varied Terms and Conditions will not apply to you.
